Nelson Mullins Riley & Scarborough Commercial Real Estate/Corporate Paralegal in Boston, Massachusetts

Nelson Mullins is seeking an experienced paralegal to work directly with attorneys in our real estate and corporate practice group. You will work representing developers, real estate companies, private funds, insurance companies, domestic and international family offices, investment banks, local, national, and international banks, REITs, and other institutional investors.

The ideal candidate is proficient in commercial real estate and corporate practice areas, including acquisitions, dispositions, leasing, M&A, corporate governance, regulatory matters, and debt transactions.

  • Draft closing checklists, purchase and sale agreement, critical date memoranda, and other closing documents.

  • Title and survey review.

  • Coordinating with various parties such as local government agencies, architects, surveyors, title companies, clients, lenders, and other financing parties.

  • Simultaneously managing multiple deals, including tracking deadlines, and communicating progress and issues to attorneys and third parties.

  • Draft corporate by-laws, operating agreements, and partnership agreements and corporate minutes and resolutions.

  • Providing corporate maintenance such as formations, dissolutions, and annual reports.

  • Assisting with due diligence review, including contract and UCC review.

  • Filing documents with the Secretary of State.

  • Overseeing preparing closing binders.

You have a strong sense of accountability, take ownership over projects and responsibilities, and resolve issues proactively. You’re able to easily stay organized and consider your high level of accuracy and attention to detail one of your strongest attributes.

  • 3-5 years’ experience as a real estate and/or corporate paralegal.

  • A commitment to producing high quality work.

  • Self-starter who is adept at working in a team environment.

  • Problem solving – ability to identify and resolve problems in a timely manner; skillfully gathers and analyzes information.

  • Strong oral communications skills – ability to communicate effectively across broad functional and organizational lines; listens and obtains clarification; responds well to questions; able to communicate in a courteous, effective, and professional manner.

  • A client service mindset.

  • Ability to prioritize, meet deadlines and escalate issues to attorneys.

  • Knowledge of spreadsheet software, word processing software, database software.

  • Knowledge of procedures related to recording documents and civil process.

  • Contract expertise related to real estate and leasing transactions.

  • Mid-size to large law firm experience a plus!
