Robert Half has an opportunity for a Contracts Manager. This will be an excellent growth opportunity under the general counsel. The Contracts Manager will govern Licensing agreements, Software subscription agreements, and IP agreements, draft contracts, and manage and re-negotiate contracts as needed. Responsibilities

  • Periodically revise and manage contract repositories

  • Provide overall support in contract administration functions for the coordination and oversight of requirements for compliance with the contract terms and conditions, along with relaying information to internal departments

  • Examine external clients' contract terms to align with Company's risk tolerance, and red-line documents as required for compliance

  • Shephard the complete life cycle of the Company's contracts (from initial request to final signature and contract distribution)

  • Settle and outsource contracts

  • Field internal and external requests on status of contracts

  • Coordinate and maintain contracts database

  • Resolve and draft legal agreements (vendor agreements, NDAs, evaluation agreements)

  • Oversee and organize contract templates; obtain signatures on contracts

  • Ensure contractual provisions and administer contract proposals are ready

    Requirements

  • Bachelor's degree

    • Proficiency with diverse computer applications and experience with contract database systems
  • Able to work across teams and gain consensus of a group of individuals

  • Ability to thrive in a dynamic, high-pressure environment, to prioritize client matters and adapt to quick changes while remaining diligent through each task performed

  • License Agreements experience

  • Practical knowledge of biotechnology intellectual property

  • Demonstrated knowledge of licensing intellectual property

  • Adeptness in intellectual property

  • Confidentiality Agreements experience highly desired

  • Expertise in licensing agreement

  • Foundational knowledge in Confidentiality Agreements

  • Deep understanding of Licensing Agreements

  • General familiarity with trademark intellectual property

  • Uphold company's professional standards in a fast-paced environment

  • Skillful in analytical, quantitative and social skills

  • Proactive in handling confidential business matters and information with discretion

  • Very organized in order to track and monitor contracts for future obligations, expiration dates and other contractual deadlines

  • Ability to review and draft non-disclosure agreements; preferably, software evaluation and licensing agreements

  • Interested candidates should have strong communication and social skills and able to receive criticism well

  • Certified Professional Contract Manager (CPCM) certification, or equivalent

  • 5+ years of relevant experience
