A venerable, publicly traded financial services organization is in need of an attorney with 2+ years of corporate law experience to support corporate governance and securities law matters. This position is hybrid, with 3 days in office in Boston and 2 days remote. This position requires that you (i) hold a valid license to practice law; (ii) have 2+ years of corporate law experience; and (iii) have experience with securities law. Position includes a competitive base salary as well as annual bonus.

salary: $170,000 - $190,000 per year

Responsibilities

  • Assist with corporate governance and corporate secretarial responsibilities, including drafting board resolutions and meeting minutes;

  • Assist with proxy statement and annual shareholder meeting preparation;

  • Assist with shareholder outreach efforts;

  • Liaise with external service providers, including external legal counsel;

  • Research peer company governance practices and disclosure;

  • Review quarterly Form 10-Q and annual Form 10-K SEC filings;

  • Review Section 16 officer reports and other securities filings;

  • Conduct director independence evaluations;

  • Support the Company‚Äôs securities trading policy and program; and

  • Support senior members of the department with other related projects.
